Terms & Conditions
These terms cover two things: using this website, and engaging Mavorium Private Limited to build something for you. Where a signed contract or proposal says something different, that document takes priority.
1. Accepting these terms
By using mavorium.in, submitting a form, or engaging us for work, you agree to these terms. If you are agreeing on behalf of a company, you confirm you are authorised to do so. If you do not agree, please do not use the site or submit an enquiry.
“We”, “us” and “Mavorium” mean Mavorium Private Limited, CIN U63999DC2026PTC473807, registered at B-138, Second Floor, Office No. 202, Ganesh Nagar, Tilak Nagar, New Delhi – 110018.
2. Using this website
You may browse the site and submit genuine enquiries. You may not:
- Submit false, misleading or someone else’s contact details.
- Use automated tools to submit forms, scrape content, or overload the site.
- Attempt to gain unauthorised access to any part of the site, its server, or its configuration files.
- Upload or transmit anything unlawful, defamatory, or containing malicious code.
- Copy our site content, design or code for use elsewhere without written permission.
We may block access, remove submissions, or report activity to the authorities where these rules are broken.
3. The AI assistant
The chat and voice assistant on this site is an automated tool provided for convenience. Please note:
- Its answers are generated by an AI model and may occasionally be incomplete or wrong. Nothing it says is a binding quote, a commitment, a contract or professional advice.
- Where its answer differs from a written proposal, an email from our team, or these terms, the written document governs.
- Voice input and spoken replies rely on your browser’s own speech features, which vary by device and may not be available everywhere.
- Do not enter confidential information, passwords, identification numbers or payment details into the assistant.
- We may limit, suspend or withdraw the assistant at any time.
4. Enquiries and quotes
Submitting the enquiry form does not create a contract. The budget figure you enter is treated as an indication to help us scope the work, not an offer or an agreed price.
We will normally respond within one working day. A quote we send is valid for 30 days unless it says otherwise, and is based on the requirements described at that point. Work begins only once the proposal is accepted in writing and any agreed advance is paid.
5. Our services
Depending on what is agreed, we provide: AI consulting, machine learning development, natural language processing, computer vision, robotic process automation, predictive analytics, AI integration, AI-powered applications, data engineering, model deployment and support; and business website development, e-commerce, hybrid applications for iOS and Android, native mobile applications, and game development.
The specific deliverables, milestones, exclusions and timelines for your project are set out in the proposal or statement of work, which forms part of the agreement between us.
6. What we need from you
Timelines assume reasonable cooperation. You agree to provide, without undue delay:
- Content, branding assets, credentials and access to systems we need to work with.
- A named decision-maker who can approve work and answer questions.
- Feedback and approvals within the review periods set out in the proposal.
- Confirmation that you own or are licensed to use any material you supply to us.
Delays caused by outstanding inputs or approvals shift the delivery dates accordingly and may affect cost.
7. Fees and payment
- Fees, the payment schedule and the currency are set out in the accepted proposal.
- Unless agreed otherwise, an advance is payable before work starts, with the balance across agreed milestones.
- Invoices are payable within the period stated on the invoice.
- Prices shown for online products, plans, credits and store items on mavorium.in include GST. For custom project proposals, GST at the applicable rate is added to the quoted fee. Every payment gets a GST tax invoice (My Mavorium → Invoices). Our GSTIN is 07AAVCM3099D1Z0.
- Third-party costs such as domains, hosting, app store fees, licences and paid APIs are billed at cost or paid directly by you, as agreed.
- We may pause work on overdue accounts after giving written notice.
8. Changes to scope
Requests that go beyond the agreed scope are quoted separately as a change request, with any effect on cost and timeline stated before the extra work begins. Nothing outside the agreed scope is assumed to be included.
9. Intellectual property
- Your material — content, data, logos and anything you supply — remains yours throughout.
- Custom deliverables built specifically for your project transfer to you on receipt of final payment in full.
- Our pre-existing material — frameworks, libraries, internal tools and general know-how developed before or outside your project — remains ours. You receive a perpetual, non-exclusive licence to use it as part of the delivered work.
- Open-source and third-party components remain governed by their own licences.
- Unless you ask us in writing not to, we may name you as a client and show non-confidential visual work in our portfolio.
10. Third-party services
Projects often depend on services we do not control — hosting providers, app stores, payment gateways, AI model providers, mapping and messaging APIs. We are not responsible for their downtime, pricing changes, policy changes, or rejection of an application by a store review process, though we will work with you to resolve issues that arise.
11. Support and warranty
We warrant that delivered work will materially match the agreed specification. Defects reported within 30 days of delivery are fixed at no charge.
Outside that window, and for anything beyond the original specification, support is provided under a separate maintenance arrangement. The warranty does not cover problems caused by changes made by you or a third party, hosting or infrastructure failures, or third-party service changes.
12. Cancellation and refunds
- Either side may end an engagement with written notice as set out in the proposal.
- On cancellation, you pay for all work completed and costs already committed up to that date.
- Advance payments are non-refundable once work has begun, except to the extent they exceed the value of work completed.
- Where we cancel without cause, we refund any amount paid for work not yet performed.
- Third-party costs already incurred on your behalf are not refundable.
13. Confidentiality
Each side agrees to keep the other’s confidential information private, use it only for the project, and protect it with reasonable care. This continues after the engagement ends. It does not apply to information that is public, already known, or required to be disclosed by law. We will sign your NDA on request.
14. Limitation of liability
Nothing in these terms excludes liability that cannot be excluded under Indian law, including for fraud or death or personal injury caused by negligence.
Subject to that, our total liability arising out of an engagement is limited to the total fees you have paid us for that engagement. We are not liable for indirect or consequential loss, loss of profit, loss of business, loss of goodwill, or loss of data, however caused.
The website itself is provided on an “as is” basis. We do not warrant that it will be uninterrupted or error-free.
15. Partnership enquiries
Submitting the partnership form is an expression of interest only. It does not create a partnership, joint venture, agency, franchise or employment relationship, and neither side may represent the other until a separate written partnership agreement is signed. We are under no obligation to accept any proposal, and we do not pay for unsolicited ideas or introductions made outside a signed agreement.
16. Governing law
These terms are governed by the laws of India. The courts at New Delhi have exclusive jurisdiction over any dispute. Before starting proceedings, both sides agree to attempt to resolve the matter in good faith through discussion for at least 30 days.
If any provision is found unenforceable, the rest remains in force. We may update these terms from time to time; the version published on the date you accept a proposal is the one that applies to that engagement.
